BLOCK TRANSFER OF APPOINTMENTS BETWEEN OFFICE HOLDERS IN INSOLVENCY CASES

IN THE HIGH COURT OF JUSTICE

BUSINESS AND PROPERTY COURTS IN MANCHESTER

INSOLVENCY AND COMPANIES LIST (CHD)

Notice is hereby given that, pursuant to a Block Transfer Order of District Judge Matharu dated 7 May 2025 upon the application of Duncan Lyle (IP number 12890) (“Applicant”), Duncan Lyle was removed as Office Holder in the cases listed in the schedule annexed to the Order (“Schedule”) and the following persons were appointed as Office Holder in accordance with the below schedule:

• Andrew James Nalliah (IP number 21790) of RSM UK CREDITOR SOLUTIONS LLP, 2 Humber Quays, Wellington Street West, HULL, HU1 2BN;

• ANNABEL JANE GRAY (IP number 12330) of RSM UK CREDITOR SOLUTIONS LLP, 2 Humber Quays, Wellington Street West, Hull, HU1 2BN; and

• JACK PLUNKETT (IP number 29830) of RSM UK Restructuring Advisory LLP, 25 Farringdon Street, LONDON, EC4A 4AB.

All removals and replacement appointments were made with immediate effect.

It has been ordered that:

1. The cases listed in the Schedule attached to this Order (each described as a "Block Transfer Case" and together the "Block Transfer Cases"), insofar as they may currently be proceedings in a County Court or other Business and Property Court of the High Court of Justice, be transferred to the High Court of Justice, Business and Property Courts in Manchester for the purpose only of making this Order.

2. Immediately upon this Order taking effect, the Block Transfer Cases transferred to the High Court of Justice, Business and Property Courts in Manchester pursuant to paragraph 1 above, be transferred back to their relevant County Court or other Business and Property Court of the High Court of Justice.

3. The Applicant ("Outgoing Office-Holder") be removed from office in respect of each of the Block Transfer Cases from the date of this Order without being required to (i) use one of the decision procedures or deemed consent procedure set out in the Insolvency Act 1986 (as amended) (the Act) or the Rules for the Block Transfer Cases; or, (ii) apply to the Secretary of State for release or discharge as appropriate pursuant to s173(2)(b) of the Insolvency Act 1986 as the case may be; or (iii) file a receipts and payment account.

4. The following named persons (each a "Replacement Office-Holder", and together the "Replacement Office-Holders") be appointed as joint Replacement Office-Holder or Replacement Office-Holder in respect of the relevant Block Transfer Cases respectively from the date of this Order taking effect without being required to (i) use one of the decision procedures or deemed consent procedure set out in the Rules for the Block Transfer Cases or; (ii) file a receipts and payments account:

a. ANDREW JAMES NALLIAH be appointed as Replacement Office-Holder in respect of the Block Transfer Cases listed in Part 1 of the Schedule from the date of this Order.

b. ANNABEL JANE GRAY be appointed as joint Replacement Office-Holder in respect of the Block Transfer Case listed in Part 2 of the Schedule from the date of this Order.

c. JACK PLUNKETT be appointed as joint Replacement Office-Holder in respect of the Block Transfer Case listed in Part 3 of the Schedule from the date of this Order.

5. The creditors in each of the Block Transfer Cases be notified of this Order by placing a composite block transfer advertisement in the London Gazette within 28 days of the date of this Order.

6. Any creditor in respect of any of the Block Transfer Cases who has an objection to this Order shall have 28 days from the date of the advertisement published in accordance with paragraph 5 above to apply to court to set aside or vary the terms of this Order. Such application shall not affect the transfer of the Block Transfer Cases until further or other order by the court.

7. The Replacement Office-Holders shall give notice to the Secretary of State in respect of the Block Transfer Cases and to the Registrar of Companies in respect of the insolvency proceedings in the Schedule of the terms of this Order as soon as reasonably practicable.

8. The Outgoing Office-Holder shall file a copy of this Order with each of the courts listed in the Schedule.

9. Nothing in this Order shall release the Outgoing Office-Holder from any obligation to give and file notices in respect of the Office-Holder's removal under this Order in respect of the Block Transfer Cases.

10. Where there are joint Office-Holders appointed on the cases listed in the Block Transfer Cases, they will act jointly and severally in relation to all matters relating to the administration of the Block Transfer Cases.

11. In the Block Transfer Cases, the Outgoing Office-Holder shall be released forthwith from any and all liability past, present or future in respect of any act(s) and/or omissions in relation to her conduct as Outgoing Office-Holder of the estates. Such release shall take effect 28 days after giving of notice to creditors and members in the case of the members’ voluntary liquidations in accordance with paragraph 5 above, save in respect of any claim notified to the Outgoing Office-Holder pursuant to the Act and/or pursuant to such other provision as may apply on or prior to the notice date and save that such release may be subject to a further Order in the event of an application by any creditor or, in the case of members’ voluntary liquidations any member, under paragraph 6 above for the specific case subject to that application.

12. The parties have liberty to apply to the Court to amend the Block Transfer Order to include any appointments held by the Outgoing Office-Holder which have been inadvertently omitted from this Application.

13. The terms of the Block Transfer Order shall not apply to any case which is listed in the Block Transfer Cases but which, prior to the Order being sealed by the Court, is concluded and the case closed (in which case for the avoidance of doubt the appointment of the relevant Replacement Office-Holder will not take effect).

14. Such further order or other relief or direction as the Court shall deem fit.
