DSTBTD LIMITED

Notice is hereby given that, on 25 June 2025, an Application (the “Application”) was presented to the High Court (the “Court”) at the instance of DSTBTD Limited, a private limited company incorporated in England & Wales under the Companies Acts (Company No. 10552489) and with its registered office at WSM, Connect House 133-137 Alexandra Road, Wimbledon, London SW19 7JY (the “Plan Company”), for sanction of a compromise or arrangement (the “Restructuring Plan”) under Part 26A of the Companies Act 2006 (the “2006 Act”) and between the Plan Company and two classes of creditors (the “Plan Creditors”) (as defined in the Explanatory Statement in relation to the Restructuring Plan which is required by section 901D of the 2006 Act (the “Explanatory Statement”)).

As directed by the Court, meetings of the Plan Creditors were held on 11 July 2025 (the “Creditor Meetings”).

At the Creditor Meetings the Restructuring Plan was approved by one or more creditor classes as follows:

1. Secondary Preferential Creditor (Class A) representing 100% of His Majesty’s Revenue & Customs secondary preferential claim present and voting (either in person or by proxy) at the Secondary Preferential Creditor Plan Meeting voted to approve the Restructuring Plan.

2. Historical Unsecured Creditors (Class B) representing 99.5% in value of the Historical Unsecured Plan Creditors present and voting (either in person or by proxy) at the Historical Unsecured Creditors Plan Meeting voted to approve the Restructuring Plan.

The Restructuring Plan has therefore been approved by the requisite majority of 75% in value of both Classes of Plan Creditors present and voting (either in person or by proxy).

This Notice is advertised in The London Gazette to allow for all parties claiming an interest in the Application to lodge responses to it with the High Court, The Rolls Building, 7 Fetter Lane, London, EC4A 1NL, United Kingdom. The deadline for lodging responses to the Application is 28 July 2025.

The Court hearing to sanction the Restructuring Plan (“Sanction Hearing”) has been listed for 1 August 2025 at the High Court, The Rolls Building, 7 Fetter Lane, London, EC4A 1NL, United Kingdom. The exact listing time has not yet been set.

Any Plan Creditor or other person who considers that they have an interest in the Restructuring Plan (each an “Interested Party”) and who is concerned that the Restructuring Plan may adversely affect them is entitled to lodge written responses to the Application and to be heard by the Court, as explained below. If an Interested Party wishes to raise concerns in relation to the Restructuring Plan with the Court or appear at the Sanction Hearing, they should seek independent legal advice and, if so advised, lodge written responses to the Application with the Court at the above address within 7 days after the publication of this advertisement. Written responses are a formal court document which must comply with the rules of the Court and are normally prepared by counsel. The Court may also consider written objections which are not in the form of written responses and/or allow an Interested Party who has not lodged written responses to appear at the Sanction hearing. Each Interested Party should note that, although the practice of the Court is to consider informal objections made in person or in writing, the Court may require an Interested Party to lodge written responses in order to raise objections to the Restructuring Plan and/or appear at the Sanction Hearing.
