Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the director of the Company proposes that on 17 July 2025 the following resolutions be passed as a special and ordinary resolution:

"That the Company be wound up voluntarily and that Hayley Watson (IP No. 23450) and Andrew McTear (IP No. 007242) both of McTear Williams & Wood Limited, Prospect House, Rouen Road, Norwich, NR1 1RE be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately and That the joint liquidators be authorised to divide among the members in specie the whole or any part of the assets of the Company and may, for that purpose, value any assets and determine how the division shall be carried out as between the members or different classes of members. The joint liquidators also be authorised to vest the whole or any part of the assets in trustees upon such trusts for the benefit of the members as they determine and determine the scope and terms of those trusts, but no member shall be compelled to accept any assets upon which there is a liability."
