At a general meeting of the Member of the above-named Company, duly convened, and held 14 Bonhill Street, London EC2A 4BX on 29 October 2025 at 2:15 PM the following resolutions, numbers 1 and 3 as Special resolutions and number 2 as an Ordinary resolution:

Resolutions

i. "That the Company be wound up voluntarily";

ii. "That Lloyd Edward Hinton and Kelly Knight be appointed as Liquidators of the Company and that they be authorised to act either jointly or separately";

iii. "That the Liquidators be authorised to distribute any of the Company's assets in specie".
