At a General Meeting of the above-named Company, duly convened, and held at Five Kings House, 1 Queen Street Place, London EC4R 1QS on the 18 March 2014 the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:

RESOLUTIONS

1. THAT it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily

2. THAT Patrick Bernard Harrington, a Licensed Insolvency Practitioner, of BHG, Chartered Accountants, Blandford House, 77 Shrivenham Hundred Business Park, Majors Road, Watchfield, Swindon SN6 8TY be and is hereby appointed Liquidator for the purposes of such winding up.

At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act, 1986, and held on the same day, the appointment of Patrick Bernard Harrington was confirmed.
